ACCEPTANCE OF TERMS

This agreement describes the terms of use (TOU) pursuant to which you may access and use ReferralAds.com software, website, and information. These terms of use (TOU) are a legal agreement between you and ReferralAds.com.

Before using this website you should carefully read the following TOU which govern the use of this website as you must agree to all of its terms before using the services provided at this website

Your use of the services provided at this website thereafter constitutes your agreement to be legally bound by the TOU of this agreement and to abide by the terms of this agreement as if you had signed this agreement. If you do not wish to be bound by the terms of this agreement, you may not access the website.

ReferralAds.com provides a collection of online resources, including a list of practices, professional real estate, and may include in the future a list of equipment for sale from appropriate professions including occasional estate sales which will be subject to the following TOU. By using ReferralAds.com in any way, you are agreeing to comply with the TOU without any modifications. In addition, when using the service, you agree to abide by any applicable posted TOU which may change without notice from time to time.

If you wish to buy or sell businesses via this website, by signing up to sell, you will have to agree to be legally bound by these TOU, including those TOU incorporated by reference. You acknowledge and agree that ReferralAds.com has the right, but not the obligation, in its sole discretion, to pre-screen, monitor, refuse or remove any listing and/or user provided content that violates these TOU. Any listing, activity, and content associated with ReferralAds.com may be investigated for violation of the ReferralAds.com TOU and determine that your use of the website does not comply with these TOU, or violates any local, state, national or international laws, or interferes with others' use of the website, or in any way adversely affects operation of the website by ReferralAds.com or others.

ReferralAds.com may take any action it deems appropriate in its sole discretion, including terminating the accounts of customers by disabling access to the website or removing the customer’s listing without notice for those who violate these TOU. ReferralAds.com accepts no liability or responsibility for loss or damages resulting from the use of any information posted on this website; or for the accuracy of reports or data files or information submitted by customers. Customers use this website at their own risk. You should only contact a party advertising on this website if you have a genuine interest in purchasing the listing being offered, you should not contact any person for any other purpose such as offering yours or any third party’s services or otherwise seeking to solicit business in any way. You should visit this web page periodically to review the TOU, because they are binding on you. In these TOU, all services provided by and related to ReferralAds.com, and all text, images, photographs, user interface, data and other content included at ReferralAds.com from time to time (including, without limitation, the selection, coordination and arrangement of such content) are owned by ReferralAds.com

While the website is usually available 24 hours a day, 7 days a week, The Service retains the right to make the website unavailable from time to time for any reason. You agree that ReferralAds.com shall not be liable for any damages arising from any interruption, suspension or termination of the website. The TOU constitute the entire agreement between you and ReferralAds.com with respect to this website. The TOU supersede all prior or contemporaneous communications, agreements, and proposals, whether electronic, oral or written between you and ReferralAds.com with respect to this website. No modification of the TOU shall be effective unless it is authorized by ReferralAds.com. If any provision of the TOU is found to be contrary to law, then such provision(s) shall be constructed in a manner to closely reflect, as much as possible, the intentions of the parties, with the other provisions remaining in full force and effect.

The parties have required that the TOU and all documents relating thereto be drawn up in English. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

ADMINISTRATION OF LISTINGS

Please familiarize yourself with ReferralAds.com’s TOU prior to entering a practice or property listing on the ReferralAds.com website. All listings are subject to the TOU.

You agree to maintain accurate email address and a valid phone number.

You represent and warrant that the professional business information/property provided by you will be accurate.

You agree to allow your professional business listing/property, or any part of it, to be searched, copied, displayed, accessed, and downloaded, by ReferralAds.com to its ReferralAds.com website.

While ReferralAds.com shall take all reasonable efforts for data backup and business resumption, you will be solely responsible for retaining back-up copies of all information, photographs and other materials you provide to ReferralAds.com.

All listings entered on ReferralAds.com may be subject to review by ReferralAds.com personnel prior to becoming available for full viewing online. ReferralAds.com reserves the right, but not the obligation, to review any listing entered by you on ReferralAds.com. You remain solely responsible for abiding by TOU.

ReferralAds.com prohibits the listing of a professional business/property more than once on the website at the same time. A duplicate is defined as the same professional business or real estate listed under more than one property ID.

ReferralAds.com offers the ability to search for properties on key words. This is designed to enable searchers to narrow their criteria based on specific requirements.

ReferralAds.com shall have sole authority to choose the manner in which any listing will be received, displayed and used by ReferralAds.com, and reserves the right to remove all or any part of a listing or refuse services to anyone at any time in its sole discretion. ReferralAds.com shall have no obligation to (i) resolve disputes among users of the service; or (ii) monitor or verify the accuracy or proper use of the listings. ReferralAds.com reserves the right to modify or change any and all TOU at any time. ReferralAds.com does not represent, warrant or endorse the accuracy or reliability of any information displayed, uploaded, downloaded or distributed through ReferralAds.com by any user, or any other person or entity. Listings that violate any of the TOU stated herein will not receive listing approval for active posting on ReferralAds.com until the issue in question has been addressed. New listings added to ReferralAds.com are reviewed to determine whether such listings are in compliance with the TOU. In the event ReferralAds.com determines a listing violates TOU (including but not limited to containing inaccurate or incomplete information), ReferralAds.com will send an email message to you about such listing, clearly stating how such proposed listing does not conform to established TOU and offering solutions on how to rectify the deficiency. After you receive notice from ReferralAds.com, you will be given a reasonable amount of time (routinely, 72 hours) to respond. It is then the sole responsibility of you to review the communication from ReferralAds.com, revise the listing as appropriate, and resubmit the corrected listing. Once the appropriate revision has been made, and ReferralAds.com determines the listing is compliant with TOU, the listing will be made available for full viewing on the site. However, if you fail to respond to ReferralAds.com’s email. ReferralAds.com’s sole discretion reserves the right to remove any and all content that continues to violate TOU.

You agree not to submit any property descriptions, photographs, financial, contact or other information contained in each practice/property data to ReferralAds.com unless you have received all necessary rights and authorizations, including from the photographer and/or copyright owner of any photographs, to publish and advertise the practice/property on ReferralAds.com 's website. You will not submit a photograph if you received the photograph from a third party information provider under the terms of a license that does not allow posting of such photograph on ReferralAds.com’s website. By entering listings on ReferralAds.com, you warrant and represent that you own or otherwise controls all of the rights to such content including, without limitation, all the rights necessary for you to provide, post, upload, input or submit such content. You acknowledge that ReferralAds.com cannot police or control all of the content provided by you that is made available on ReferralAds.com. Building/practice photographs posted, attached, or affixed to listings must be actual photographs of the building/practice being listed. All such photographs must be either the owners or the property of the listing broker or the listing broker must have received all necessary rights and authorizations, including from the photographer and/or copyright owner of any photographs, to publish such photographs on ReferralAds.com’s website for the purpose of advertising the subject practice/property. Photographs uploaded that are not directly related to the practice/property being listed, including brokerage company logos, may be removed at the discretion of ReferralAds.com.

Advertising and Sponsorship

Part of the ReferralAds.com site may contain advertising and sponsorship. Advertisers and Sponsors are responsible for ensuring that material submitted for inclusion on the ReferralAds.com complies with relevant laws and codes. We will not be responsible for any error or inaccuracy in advertising and sponsorship material.

APPLICABLE LAW

Governing Law and Jurisdiction

If a dispute arises between you and ReferralAds.com, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly.

By visiting ReferralAds.com you agree that these TOU are governed by and construed in accordance with the laws of the State of Florida, , USA, without giving effect to conflict of law principles. Any controversy or dispute arising out of your use of our site shall be submitted, and your irrevocably consent, to either litigate (in the exclusive jurisdiction and venue of a court located in the state of Florida, County of Orange USA., to the exclusion of the courts of any other state or country; or be submitted to confidential arbitration (You agree that it is ReferralAds.com's choice to decide) , except that, to the extent you have in any manner violated or threatened to violate ReferralAds.com's intellectual property rights, ReferralAds.com may seek in a court of competent jurisdiction a temporary restraining order, preliminary injunction or other equitable or appropriate relief to preserve the status quo or prevent irreparable harm.

If the parties are unable to resolve the dispute through negotiation or mediation within a reasonable time after written notice from one party to the other that a dispute exists, then arbitration under this agreement shall be conducted under the rules then prevailing of the national arbitration forum.

Any claim, dispute, or controversy (whether in contract, tort, or otherwise, whether preexisting, present or future, and including statutory, common law, intentional tort and equitable claims) between you and ReferralAds.com, its agents, employees, principals, successors, assigns, affiliates (collectively for purposes of this paragraph, "ReferralAds.com ") arising out of or relating to this agreement, ReferralAds.com ‘s advertising, or any related purchase from or relating to this agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from this agreement (including, to the full extent permitted by applicable law, relationships with third parties who are not signatories to this agreement),

ReferralAds.com's advertising, or any related purchase shall be resolved exclusively and finally by binding arbitration administered by the national arbitration forum (NAF) under its code of procedure then in effect (available via the Internet at http://www.arb-forum.com , or via telephone at 1-800-474-2371). The arbitration will be limited solely to the dispute or controversy between you and ReferralAds.com neither you nor ReferralAds.com shall be entitled to join or consolidate claims by or against other customers, or arbitrate any claim as a representative or class action or in a private attorney general capacity. This transaction involves internet commerce, and this provision shall be governed by the Federal Arbitration Act 9 U.S.C. sec. 1-16 (FAA). Any award of the arbitrator(s) shall be final and binding on each of the parties, and their respective successors and permitted assigns; and may be entered as a judgment in any court of competent jurisdiction. Each party shall pay for its own costs and attorneys' fees, if any. However, if any party prevails on a statutory claim that affords the prevailing party attorneys' fees, or if there is a written agreement providing for fees, the arbitrator may award reasonable fees to the prevailing party, under the standards for fee shifting provided by law. You agree to comply with all applicable laws and regulations of Florida and of the United States and without regard to the location of execution or performance of this agreement.

If any provision of these TOU is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed removed and shall not affect the validity and enforceability of any remaining provisions.

The failure of ReferralAds.com, to exercise or enforce any right or provision of the TOU shall not constitute a waiver of such right or provision.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOU must be filed within one (1) year after such claim or cause of action arose or be forever barred.

These TOU shall be binding upon and shall inure to the benefit of the parties and their respective successors and permitted assigns. The rights under this agreement or any license granted herein may not be assigned, sublicensed or otherwise transferred by you without the prior written consent of ReferralAds.com, which retains the right to withhold consent in its sole discretion.

Release

If you have a dispute with one or more users, you release us (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. If you are a Florida resident, you waive Florida Civil Code, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

Legal Notices

Except as explicitly stated otherwise, legal notices and or claims must be in writing and must be sent registered mail, certified mail, or overnight mail with a return receipt requested to CFO of ReferralAds.com, 206 Tranquility Cove, Altamonte Springs, FL 32701.

Notices to you will be sent to the email address you provide to ReferralAds.com during the registration process. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you legal notice by mail to the address provided during the registration process. In such case, notice shall be deemed given three days after the date of mailing.

AVAILABILITY OF ReferralAds.com

ReferralAds.com is a leader in the listing of professional businesses for sale.

Although ReferralAds.com aims to offer you the best service possible, ReferralAds.com makes no promise that the services at the ReferralAds.com site will meet your requirements. We stand behind the quality of our service and we will make a serious effort to provide you a satisfactory experience; however we cannot guarantee that the service will be fault free. If a fault occurs in the service please contact us here, and we will make an earnest attempt to correct the fault to your satisfaction as soon as we reasonably can.

Your access to the ReferralAds.com site may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. ReferralAds.comwill attempt to restore the service as soon as it reasonably can.

CONDUCT

You agree not to post, email, or otherwise make available content:

a) that is unlawful, tortuous, harmful, hateful, false, inaccurate, misleading, threatening, abusive, harassing, defamatory, libelous , vulgar, profane, obscene, invasive of another's privacy (including personal information), or racially, ethnically or otherwise objectionable; or is harmful to minors in any way;

b) that includes personal or identifying information about another person without that person's explicit consent; or collecting personal data about other users including email addresses, without their consent for commercial or unlawful purposes; or impersonate any person or entity, including, but not limited to, a ReferralAds.com leader, or falsely state or otherwise misrepresent your affiliation with a person or entity; or transferring your ReferralAds.com account to another party without ReferralAds.com’s consent;

c) that is pornographic

d) that harasses, degrades, intimidates or is hateful toward an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;

e) if you are not able to form legally binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from our sites;

f) that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or distribute content from the sites and ReferralAds.com’s copyrights and trademarks; (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); or transmit or store electronic copies of materials protected by copyright without the permission of the owner.

g) that constitutes or contains "affiliate marketing," "link referral code," "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of any unsolicited promotional materials, including but not limited to unauthorized commercial advertisement;

h) that constitutes or contains any form of advertising or solicitation if: posted in an inappropriate category or areas of the ReferralAds.com sites which are not designated for such purposes; or emailed to ReferralAds.com users who have not indicated in writing that it is ok to contact them about other services, products or commercial interests; or do not contact anyone who has asked not to be contact

i) that includes links to commercial services or websites, except as allowed by ReferralAds.com.

j) that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or distribute any other technologies that may harm ReferralAds.com, or the interests or property of ReferralAds.com users;

k) that disrupts the normal flow of dialogue with an excessive amount of content (flooding attack) to ReferralAds.com,

or that otherwise negatively affects other users' ability to use ReferralAds.com; or disrupts the normal flow of dialogue, cause a screen to "scroll" faster than other users of ReferralAds.com are able to type,

or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;

or interfere with or disrupt ReferralAds.com or servers or networks connected to ReferralAds.com or disobey any requirements, procedures, policies or regulations of networks connected to ReferralAds.com;

or interfering or disrupting networks or websites connected to ReferralAds.com

or attempt to gain unauthorized access to ReferralAds.com's computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the service or the ReferralAds.com website

or that post non-local or otherwise irrelevant content, repeatedly post the same or similar content or otherwise impose an unreasonable or disproportionately large load on our infrastructure;

l) that employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of content transmitted through ReferralAds.com

m) transmitting material that encourages conduct that constitutes a criminal offence, results in civil liability or otherwise breaches any relevant laws, regulations or code of practice or breaches any laws concerning the use of public telecommunications networks.

n) use any form of automated device or computer program that enables the submission of postings on ReferralAds.com without each posting being manually entered by the author thereof (an "automated posting device"), including without limitation, the use of any such automated posting device to submit postings in bulk, or for automatic submission of postings at regular intervals; or the use of spiders, robots, crawlers, data mining tools, or the like to download data from ReferralAds.com - unless expressly permitted by ReferralAds.com;

o) that conceals or disguises the nature, location, source, or ownership of material support or resources to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;

Broker Conduct

Entering “Confidential”, “Call Broke”, “Withheld”, or any other verbiage designed to withhold, hide, and/or conceal the physical address in the Address or State fields is strictly prohibited. ReferralAds.com reserves the right to remove any and all property listings with non-address related or invalid information in any address specific field with or without contacting the listing broker.

CONTENT & USE OF INFORMATION

When you give ReferralAds.com content, you grant ReferralAds.com a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights (but no other rights) you have in the content, in any media known now or in the future. (We need these rights to host and display your content.)

You acknowledge, consent and agree that ReferralAds.com may access, preserve, and disclose your account information and content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the TOU; (c) respond to claims that any content violates the rights of third-parties; (d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of ReferralAds.com, its users and the public.

You understand that the technical processing and transmission ReferralAds.com, including your content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

You understand that ReferralAds.com and software embodied within ReferralAds.com may include security components that permit digital materials to be protected, and that use of these materials is subject to usage rules set by ReferralAds.com and/or content providers who provide content to ReferralAds.com. You may not attempt to override or circumvent any of the usage rules embedded into ReferralAds.com. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on ReferralAds.com, in whole or in part, is strictly prohibited

ReferralAds.com may provide users an opportunity to post content to the website. ReferralAds.com does not necessarily endorse, support, sanction, encourage, or agree with content posted by users. You shall not post or transmit any unlawful threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane, or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate local, state, national, or international law, or infringe upon another's copyright or trademark.

You acknowledge that ReferralAds.com does not pre-screen or approve content, but that ReferralAds.com shall have the right (but not the obligation) in its sole discretion to refuse, delete, move, or edit any content that violates this agreement or is otherwise objectionable as determined by ReferralAds.com in its sole discretion and without notice.

If you upload, post, or otherwise transmit content to the ReferralAds.com, you acknowledge that any such submissions may be edited, removed, modified, published, transmitted, and displayed by ReferralAds.com in any medium now existing or hereinafter invented, and for any purpose, including commercial uses. You waive any moral rights you may have in having the material edited, removed, modified, published, transmitted, or displayed in a manner not agreeable to you.

You agree to indemnify ReferralAds.comand its parent company Netlojic International LLC, subsidiaries, and affiliates, and each of their respective partners, officers, directors, employees, and agents, against, and to hold each of them harmless from, any and all claims and liabilities (including attorney's fees) that may arise from your submissions, from your unauthorized use of material obtained from the ReferralAds.com, from your breach of these terms and conditions, and from any such acts arising through your use of the ReferralAds.com. You agree to treat all information obtained from ReferralAds.com, including listings, member directory, historical transaction information (recent sales), and any information otherwise made available to you as proprietary to ReferralAds.com. You agree that the content will be maintained as confidential and shall be protected as a trade secret of ReferralAds.com. ReferralAds.com does not ensure the accuracy of, endorse or recommend any content. You use such content at your own risk. You may access the active practice/property listings information solely to obtain initial information from which further evaluation and investigation may commence.

You shall limit access to and use of active practice/property listings and recent sales information to personal and internal use, and shall not use any information obtained from the ReferralAds.com for further distribution, publication, public display, or preparation of derivative works or facilitate any of these activities in any way. You shall not use or reproduce any content that is obtained from ReferralAds.com, or that is otherwise made available to you, for or in connection with any other listing service or device. You further agree not use ReferralAds.com in any other manner for or in connection with any other listing service or device. You agree not use ReferralAds.com as part of any effort to compete with ReferralAds.com, including without limitation using the ReferralAds.com to provide, alone or in combination with any other product or service, any database services to any third party or any use that causes a reduction or loss from an existing or potential ReferralAds.com, nor shall you remove, erase, or tamper with any copyright or other proprietary notice printed or stamped on, affixed to, or encoded or recorded in the ReferralAds.com service. Users violating these specific terms, specifically those users searching ReferralAds.com in an abusive or excessive manner, by automated or manual means, shall be subject to immediate termination and will be assessed an excessive use fee of $1,000.

You understand and agree that ReferralAds.com does not control, and is not responsible for content made available through the ReferralAds.com, and that by using ReferralAds.com, you may be exposed to content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable and that you may not rely on any content created by ReferralAds.com or submitted to ReferralAds.com and that you must evaluate, and bear all risks associated with, the use of any content, and that under no circumstances will ReferralAds.com be liable in any way for any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed or otherwise made available via the ReferralAds.com.

ELECTRONIC COMMUNICATIONS

You understand and agree that sending unsolicited email advertisements (spam) to ReferralAds.com email addresses or sending spam through ReferralAds.com computer systems, or its tools or otherwise sending content that would violate these TOU is expressly prohibited. Any unauthorized use of ReferralAds.computer systems is a violation of the TOU and certain federal and state laws, including without limitation the Computer Fraud and Abuse Act Such violations may subject the sender and his or her agents to civil and criminal penalties.

ReferralAds.com has the right to revoke the privileges of any customer or company that breaches these terms.

EXCLUDED SERVICE

The services provided by the ReferralAds.com site do not include the provision of computer or other necessary equipment to access the ReferralAds.com. To use ReferralAds.com site you will require Internet connectivity and appropriate telecommunication links. We shall not be liable for any telephone or other costs that you may incur.
